10 days remaining: registration for IABA EGM

There are 10 days remaining for Registration for IABA’s Extraordinary General Meeting on Saturday, August 26th. The purpose of this EGM is to consider two matters. A special resolution and separately a motion.

  1. A special resolution to amend the current constitution of the company so that we have more control over our operations without Constitutional restrictions.
  2. A motion to decide if we should also Affiliate with World Boxing.
  1. SPECIAL RESOLUTION  

That, subject to consent of the Revenue Commissioners, the Constitution of the Company in the redline tracked form attached and marked with the letters “C” be adopted as the revised agreed Constitution of the Company. 

RATIONALE FOR THIS SPECIAL RESOLUTION

 On 22nd June the IOC withdrew recognition of the International Boxing Association (IBA), in accordance with Rule 3.7 of the Olympic Charter and demonstrates the need for IABA to have the ability to affiliate with other international federations which is precluded by our current Constitution as adopted.

The Board recognises and appreciates the concerns expressed by a number of Members and wishes to reassure Members that the provision would only be utilised in circumstances where the IABA Board felt it was in the best interests of the organization, following a ballot of Members. The proposed special resolution is to amend the Constitution of the Company to allow it to place the promotion of boxing in Ireland uncoupled with obligations that are inconsistent and distinct with those objects which relate to any third-party body. 

The logic is to ensure that we are not restricted in our affiliations and that the members have more autonomy over this decision which currently has no flexibility in the Constitution as adopted.  

MOTION

Does your club wish IABA to remain a member of the International Boxing Association (IBA) AND affiliate to World Boxing?

MOTION EXPLANATION

Should delegates at the EGM vote in favour of the resolution, the IABA will not resign from the IBA. Members are being asked if they wish the IABA to also join World Boxing. If delegates do not vote in favour of the resolution, IABA will not be able to join World Boxing because of restraints in the Constitution, regardless of the outcome of the vote on this motion.

Eligibility – All clubs who have submitted affiliations for the 2023/2024 season

Attendees: Eligible clubs may nominate any two adult members to attend as delegates – one to be a voting delegate, one to be a non-voting delegate. Delegates nominated by clubs must verified members – this means they must be included in the club’s affiliation application, through Blocworx, for the 2023/2024 season as members and be over the age of 18. *Please note, delegates will be required to present photographic identification (passport, drivers’ licence, etc) on the day of the EGM.  

 Any questions which your club might wish to raise at the EGM the resolution and the motion or any other matter, should be submitted in advance of the EGM, either by post care of The Company Secretary to The National Stadium, 145 South Circular Road, Dublin 8, or by email to questions@iaba.ie no later than Friday, August 18th at 5:00pm. This will facilitate us in providing the fullest response to any queries at the EGM.

Team Ireland European Schools Championship flag-bearers named.

Louise Joyce of Olympic BC, Westmeath and James Rooney of St John Bosco ABC, Belfast have been named Team Ireland’s flag-bearers for the European Schools Championships.

The tournament is being hosted by the Slovenian Boxing Federation in Maribor, from August 15th to 26th. The draw takes place on August 16th, and boxing begins on August 17th. In preparation for the tournament, the Irish team have been in camp with Squad Training and the National Stadium and have just returned from a training camp in Poland with that federation’s Schools team.

Central Council took the independent decision to field a team at this tournament at its meeting in July, following a review of all federations contesting previous underage European Championships this year. This review included the ongoing European Junior Championships, where competitor nations include Ukraine, England, Scotland and Wales.

Central Council is mindful of the fact that Irish athletes cannot contest against Russian or Belarussian athletes boxing under their own flag, and wanted to ensure there was as low a probability as possible of an Irish boxer being drawn against such an opponent.

Irish Athletic Boxing Association (IABA) is looking for a Company Secretary to provide high quality, professional company secretarial services and promote good corporate governance. This position assists in the efficient administration of the Association’s Governing Structure; ensuring Members are fully informed of legal and corporate responsibilities and ensuring full compliance with statutory regulations and corporate governance.

Key Responsibilities

Company Secretarial

  1. Responsibility in the organisation and administration of meetings for the Board of Directors and selected Committees. including agenda and all meeting preparation, circulation of papers, organisation of meetings and follow up to include minutes of the meetings.
  2. Maintaining action logs arising out of meetings and driving completion of actions. 
  3. Manage electronic board paper software, including liaison with software provider.

4. Arranging and co-ordinating the election process for the IABA’s governing structure.

5. Oversight of statutory requirements, By-Laws, corporate governance, legal regulations and requirements. Input into the management of change to By-Laws and internal corporate governance where required.

6. Advising on corporate governance best practice and making recommendations.

7.   Manage the development and induction programme for the Board, Central Council and other relevant committees under the direction of the chair.

8. Ensuring compliance with legislation such as the Companies Act, Sports Governance Code, Protected Disclosures Act etc.

9. Act as point of contact to co-ordinate all Governance compliance reporting and Data Protection (DP) requests and ensure that statutory obligations, timelines etc. are adhered to.

10. Participate in any other IABA projects, events or activities as directed.

Qualifications

•    Third level qualification in a relevant discipline

 •    Knowledge of relevant legal and regulatory requirements, and corporate    governance best practice.

              •    Ability to design and implement new ways of working, based on company secretarial and corporate governance best practice.

•    Ability to work independently, under pressure and to tight deadlines, managing competing priorities.

•    Able to deliver quality written reports or minutes with excellent attention to detail.

       •     Ability to take ownership and drive projects forward.

Skills

•    Strong communication and interpersonal skills;

IABA is sharing its completed workshop series on applying for Sports Capital and Equipment Grants, designed to assist clubs in making their applications.

The scheme, open to clubs in ROI, has been amended and upgrade from the previous round. Key features under the 2023 Sports Capital round:

– Maximum grants for local projects increased from €150,000 to €200,000;

– Maximum grants for regional projects increased from €300,000 to €500,000; and

– New rules on providing similar access to facilities for men and women.

The 2023 Sports Capital and Equipment Programme is now open for applications and closes 5pm on Friday 8th September 2023. The deadline for registration is 5pm on Friday 25th August 2023.

In the last round of awards made in February 2022, 42 boxing clubs successfully applied for equipment and capital project grants, worth a combined total of 585, 194. The highest award was 288,00 for a building project. A full outline of all awards is available here
